The General Assembly of the joint-stock companies did not convene on 20/42020 and the meeting of the Market General Authority did not take place on 4/18/2020 due to the force majeure and Corona pandemic
The curfews were imposed from 3/17/2020 to 4/20/2020.[/rtl]

And based on Law 74 of 2004 and the internal system of the Iraq Stock Exchange and based on the decision of the Governing Council at its fourth session in 2020.[/rtl]
[rtl]
The meeting of the General Authority for the Iraq Stock Exchange will be held on Saturday 27/6/2020 at ten in the morning in the market building according to the following curricula:[/rtl]
[rtl]
1- Discuss and endorse the report of the Governing Council on the activities of the Iraq market for the year 2019.[/rtl]
[rtl]
2- Discussing the final accounts of the Iraq Stock Exchange, as on 12/21/2019, the report of the auditor, approving it and discharging the Board of Governors.[/rtl]
[rtl]
3- Discussing and approving the Iraq Market Program of Action 2020.[/rtl]
[rtl]
4- Election of the Chairman and members of the Board of Governors for its sixteenth session for a period of one year.[/rtl]
[rtl]
Based on the internal system of the Iraq Stock Exchange and its amendments (Section 4) thereof, the Governing Council decided the following:[/rtl]
[rtl]
First: The members of the board shall be natural persons, provided that the council is composed of the following:[/rtl]
[rtl]
1- Chairman of the Board of Governors:[/rtl]
[rtl]
A- He is not associated with a government job and devotes himself to his position.
B- He must be independent from the members of the market or pledge independence if he wins the elections at this position before forming the board.[/rtl]
[rtl]
C- He must have experience in the financial, legal, or investment fields of no less than (15-) years.
D- He must be no less than (40-) years old.[/rtl]
[rtl]
2- Maintain a representative of the listed companies from which a person or more is chosen by the listed companies.[/rtl]
[rtl]
3- A representative representing the member companies, for the nomination committee to propose a candidate or more for this purpose, provided that:[/rtl]
[rtl]
A- To have practical service in the field of mediation of not less than five years and inactivity of not less than two years.[/rtl]
[rtl]
B- No decision has been issued to suspend him from working on the market for a year prior to the nomination.
4- Four independent governors who are qualified to maintain their independence from the market or from any of its parties, and the Nomination Committee proposes
Four or more candidates for this purpose who have experience in legal, accounting and investment matters, one of whom should have the necessary expertise in cases
Information technology.[/rtl]

Second: The governor must fulfill the following conditions:[/rtl]
[rtl]
1-He should be fully legal qualified.[/rtl]
[rtl]
2-That he has not committed a crime or a crime involving honor or related to breach of trust or financial fraud or manipulation or crime of market experts and that he is not
Exposed to any disciplinary punishment related to honor, trust, financial fraud, market manipulation, or the crime of market experts, and not from those whose services are terminated
For reasons of honor or honesty.[/rtl]

3- He must not be less than (35-) years old.[/rtl]
[rtl]
4- He must have obtained a minimum university degree as a minimum.[/rtl]
[rtl]
Third: - The Chairman and members of the Board of Governors submit the written pledge that the market will provide.[/rtl]
[rtl]
Fourth: - All governors are elected for a period of one year.[/rtl]
[rtl]
Fifth: The job duties of the electors shall start immediately after the annual meeting of the General Assembly.
Sixth: Those wishing to nominate must submit the required documents:[/rtl]
[rtl]
1- Nomination form:[/rtl]
[rtl]
All candidates (except for the candidate representative of listed companies) must organize a nomination form received from the market administration (signed by no less than (12) members).[/rtl]
[rtl]
(From the market members). With the candidate’s CV and all documents supporting his experience and submitting them to the Nomination Committee no later than 3/6/2020.[/rtl]
[rtl]
2- Confidentiality and documents of expertise.[/rtl]
[rtl]
3- Evidence documents.[/rtl]
[rtl]
In the event that the required quorum is not achieved, the meeting shall be adjourned to the same day and time from the following week in the same place.[/rtl]
[rtl]
Seventh: - Inviting the participating companies to elect their representative in the Board of Governors for the year 2020 at the meeting that will be organized on Wednesday corresponding to 6/24/2020 hours
12:30 pm In the market building, according to Article (4-11) of the internal system, it meets the conditions outlined in Article 6-2-3 of the internal system.[/rtl]

Those wishing to nominate the chairmanship and membership of the council for the next session must submit their applications to the Iraq Stock Exchange Administration / Nominations Committee at a date
No later than Wednesday, 3/6/2020.[/rtl]
